"I voted for the European Parliament resolution with recommendations to the Commission on a new company law directive on the cross-border transfer of company seats because I think that it is important to remove the barriers encountered by companies when they would like to transfer their seats to another Member State.
The Treaty on the Functioning of the European Union (TFEU) guarantees freedom of establishment for all European companies. Parliament calls on the Commission to table, as a matter of urgency, based on Article 50(1) and (2)(g) of the TFEU, a proposal for a directive on the cross-border transfer of company seats. The directive should allow companies to exercise their right of establishment by migrating to a host Member State without losing their legal personality, but by being converted into a company governed by the host Member State’s legislation, without having to be wound up. The transfer should take effect on the date of registration in the host Member State. In order to protect third parties, registration in the host Member State and removal from the register in the home Member State should be publicised in an appropriate manner. Any company against which proceedings for winding-up, liquidation, insolvency, suspension of payments or other similar proceedings have been brought should not be allowed to undertake a cross-border transfer of seat."@en1
