"I voted in favour of this report because with it, the European Parliament, exercising its newly acquired right of legislative initiative, which previously only belonged to the European Commission, requests that the latter submit a proposal for a directive on the cross-border transfer of company seats. The European Parliament has exercised this right because, in its opinion, the Commission’s inaction on this issue is a mistake as it is failing to remedy obstacles preventing companies from exercising one of the fundamental rights granted to them by the EU – freedom of establishment throughout the European Union. This opinion of the European Parliament is based on the results of several public consultations, as well as the conclusions of the European Court of Justice, that too many disparities still remain in the national legislation of the Member States applicable to company establishment, preventing the exercising of the freedom of establishment, and a harmonised regime should therefore be established throughout the EU. The harmonisation of such a legal regime applicable to company establishment throughout the EU would facilitate the removal of many administrative obstacles and a reduction in the social and tax costs of establishing a company in another Member State."@en1
